Software License Agreement

Consus Solutions ("Licensor") is willing to license the enclosed software to you only if you accept all of the terms in this license agreement. Please read the terms carefully before you use this software, because by using this electronic file, you are agreeing to be bound by the terms of this agreement. If you do not agree to these terms, Licensor will not license this software to you, and in that case you should not use this application. If you return the application to Consus Solutions, you must include all written materials. Once the application has been received there are no refunds or credits; all sales are final.

Ownership of the Software

The enclosed Licensor software program Sync to Intuit QuickBooks ("Software") and any accompanying training manual are owned by Licensor and are protected by copyright laws and by International Treaties.

Grant of License

Licensor grants to you the right to use the Application on a Cloud. You may have one or more users Accounts according to the License Agreement the Application is designed for using across platform.

Restrictions on Use and Transfer

1.This Application User Licenses has been delivered electronically for use as per this “License to Use”. You may not redistribute it to another user, person or company for any reason, except as part of the permanent transfer of the Software and all written materials (as provided for below).
2.You may not copy (or cause to be copied) the Software, except that (1) you may make one copy of the Software solely for backup or archival purposes, and (2) you may transfer the Software to a single hard disk provided you keep the copy solely for backup or archival purposes. You may not (or cause to be) transfer the written materials.
3.You may not transfer the software to any other party without written consent from Consus Solutions. Such a transfer terminates your license and you are no longer authorized to use the Application. You may not rent or lease the Application or otherwise transfer or assign the right to use the Application, except as stated in this paragraph. You may not return the Application for a refund once the Application License has been issued to you. You, your employees or your agent may not reverse engineer the Application.
4.Violation of this Software License Agreement will result in penalties that are at minimum equal to the purchase price of the violated Application or users and could result in revocation of license to use Application. Upon revocation you must, within three days, notify Consus Solutions to block or remove your account. There is no refund for a revoked Application.

Limited Warranty

1.Consus Solutions warrants that the User Information is extremely confidential and will not be disclosed.
2.Consus Solutions is not liable for loss or damage caused, or alleged to be caused, directly or indirectly, by the licensed Application.
3.Licensor disclaims all other warranties, either expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, with respect to the Application and the accompanying written materials.
4.Consus Solutions provides no Warranty for failure of the Software which has resulted from modification, accident, abuse, misuse, external component or Application failures or misapplication.
5.In no event will Licensor be liable to you for damages, including any loss of profits, lost savings, or other incidental or consequential damages arising out of your use or inability to use the Application.
6.This program is protected by copyright law and international treaties.
